21/3510 v. 7.1.2026).

'Mediatization Versus Disintermediation. A Plea for the Inclusion of Intermediaries in the Structuring of Investment Instruments': The thesis argues that financial intermediation remains indispensable for the legal structuring of investment instruments. Combining economic, regulatory, and private law perspectives, it demonstrates that mediatisation is a structural prerequisite for efficiency, stability, and legal certainty in modern financial markets.

Myocardial damage is the leading cause of human mortality and requires support with new scientific knowledge and treatment modalities. This approach adds new perspectives to the classical knowledge that all clinicians already possess and demonstrates the potential advantages of approaching the disease from a different perspective. Understanding the cellular deterioration that triggers myocardial dysfunction and related new treatment approaches should prevent contractile dysfunction, i.e., heart failure, and sudden death during follow-up.

Parties to credit default swaps (CDS) increasingly seek to influence the companies to which their CDS relates in order to secure the profitability of their CDS positions. This activism not only has adverse effects on capital markets but also complicates the restructuring of financially distressed companies. Julian Franke examines this phenomenon by providing a factual account, an economic analysis, and a legal assessment. The study focuses on German civil law and European Union capital market law, while comparative insights into U.S. law provide the foundation for a comprehensive understanding of the regulation of the global CDS market. The author demonstrates that CDS activism generally results in overall welfare losses and is therefore, rightly, largely prohibited under current law. He recommends introducing a transparency regime for CDS positions to improve the steering function of private enforcement. Furthermore, the state should prohibit certain CDS activism strategies and ensure their enforcement. The legal assessment raises a number of fundamental questions: How should standardized, market-wide contracts be interpreted? What duties of cooperation arise in the context of corporate restructuring? How should self-created inside information be treated under insider trading law? When are prices considered artificial? Julian Franke engages with these debates and thereby contributes to fundamental discussions in financial law.

'Redemption of Shares in a Limited Liability Company (GmbH). Redemption Compensation, Capital Maintenance Rules and Limited Liability': According to the Federal Court of Justice, shareholders in a limited liability company (GmbH) can be held personally liable for a redemption compensation if it cannot be paid out due to capital maintenance rules. The thesis critically analyses the case law and its consistency with statutory law. Additionally, it argues that the exemption from capital maintenance rules applicable to shareholder loans should also apply to deferred redemption payments.

"The tension between what the market is doing and what, by the author’s lights, it ought to be doing, will keep investment-minded readers turning these smart and accessible pages….A fine and essential work.”—James Grant, The Wall Street JournalFrom the renowned iconoclast investor comes a brilliant account of sixty years spent hunting for value and sidestepping bubbles in a changing financial worldWhen Jeremy Grantham entered the investment business in the 1960s, he brought the thrifty Quaker values and Yorkshire independence he had been raised with. While other money managers were focused on blue chip stocks, he studied stock market history and constructed by hand the first indices for small-cap and value stocks. Charting their ebb and flow, he could see clearly the powerful force that would become central to his investment philosophy: mean reversion, “the heartbreaking principle that good times always revert back to more boring, more ordinary times.”In the early 1970s Grantham was a pioneer of index investing. Soon after, he co-founded GMO and spent the firm’s early earnings on a hard drive the size of an industrial washing machine, becoming the first firm to use a computer for investment analysis. This quantitative style went on to take over the industry. In the late 1990s Grantham acquired notoriety as a “permabear” for refusing to buy into the dotcom mania. Clients left in droves—one called him “dangerously persuasive and totally wrong”—but he was vindicated when the bubble burst in 2000. Yet while his wealth grew, so did his alarm at the disastrous consequences of short-term thinking not just for investors but for the very future of the planet, and he has directed nearly all his wealth to environmental protection.Written with his former colleague, the bestselling financial historian Edward Chancellor, The Making of a Permabear is replete with investment insights and provides a compellingly candid and witty insider’s tour of the booms and busts of the past half century.

'Cum/Ex in light of stock exchange and securities trading law. Tax-motivated securities transactions as prohibited market manipulation?': The thesis contributes to the debate on cum/ex and cum/cum transactions, which has so far been dominated by tax law and criminal tax law. Specifically, the thesis focusses on how tax-motivated securities transactions, particularly in the form of cum/ex and cum/cum, should be classified in terms of market manipulation prohibitions and what the consequences are in terms of legal responsibility of stock exchange supervision and securities supervision.
